R.R. Donnelley Continues to Grow Through Acquisitions
R.R. Donnelley & Sons Company has agreed to acquire Waterloo, Wisconsin-based Perry Judd’s Holdings Inc., a privately owned printer of magazines and catalogs, for $176 million, the company said today. This is the second acquisition agreement Chicago-based R.R. Donnelley has made in as many months. It agreed to purchase Banta Corp. of Menasha, Wisconsin, for $1.3 billion in November.
Of the purchase price, $47 million is for the acquisition of the company’s common stock, with the rest going toward the purchase of the company’s preferred stock and the assumption of its debt. The transaction is expected to close in the first half of 2007. RR Donnelley said it expects to repay the debt at or shortly after it closes the deal.
Donnelley is already the world’s largest publisher with $9 billion in revenues – Banta alone will add another $1.5 billion in revenue to that total. Although Donnelley’s recent acquisitions make the printing landscape less competitive, they also give the company greater buying power and better services to offer its customers.
Donnelley its intent to acquire of Banta just one day after a $1.2 billion unsolicited offer from Stamford, Connecticut-based Cenveo, a maker of envelopes and provider of digital printing services, expired.
