Robb Report on Block, Again

Sources: CurtCo Media in ‘middle stages’ of acquisition talks.

CurtCo Media has put its flagship Robb Report magazine on the block again.

According to sources knowledgeable in magazine M&A, CurtCo is in the “middle stages” of acquisition talks, most likely with “big international groups” possibly from the U.K. or Germany.

A CurtCo spokesperson did not immediately return a request for comment.

“The partners are looking to sell,” one source tells FOLIO:, indicating that CurtCo could be seeking upwards of $100 million. “It’s an attractive asset. While they aren’t recession-proof, necessarily, the super luxury segment tends not to take as big a hit in tough economic times as other magazines do. Even though ad numbers may be down slightly at Robb Report, that’s not a bad thing.

“CurtCo wants to have a deal done before the end of the year,” adds the source.

According to Publishers Information Bureau, ad pages through the first nine months are down 4.6 percent compared to the same period in 2007. Meanwhile, estimated ad revenue was $22 million, up 3 percent from the same period last year.

In 2006, CurtCo Media hired investment bank Goldman Sachs to handle the potential sale of the company with DeSilva + Phillips acting as co-brokers. With an asking price reportedly at $500 million (at the time, annual revenue was said to be about $100 million and EBITDA roughly $20 million) a deal never materialized.

In February, CurtCo sold Worth magazine to Boca Raton, Forida-based Sandow Media for an undisclosed amount. Also, a potential investment in CurtCo by private equity firm Elevation Partners reportedly fell apart.

Earlier this month, CurtCo named Donald T. Schmoll vice president and group marketing director for its Robb Report magazine group.

According to its Web site, Robb Report has a rate base of 120,000. The magazine also publishes editions in China, India, Russia, Spain, Singapore and Turkey.

Curtis should stop putting out these silly numbers. The $500 million figure he circulated when trying to sell Curtco made him look doubly foolish when he didn't get a deal. Now he wants $100 million for an asset he's being forced to sell by his partners? He won't get that if buyers smell blood.

If the numbers are still roughly as reported earlier, then $100 million seems more than reasonable, assuming a strong Web presence with at least 20 percent of the revenue coming from online. If, however, the $20 million EBITDA is really, say, $15 million, with 10 percent of revenue from online, then $90 million or slightly less seems more in the ballpark. The online component is key. . .

The fear that things are going to get worse at CurtCo (in terms of revenue) is apparent from within the office... really, how many more Bentleys and Rolls Royce Convertibles for the boss can a company that isn't making any money sustain?

This shouldn't surprise anyone working with or within Curtco. Just look at how they've treated past publications and employees. Greed is a powerful drug to kick.

They have lost countless strong employees due to management greed. It is a sinking ship and has been for a long time. Best of luck to the current employees as well as the new buyer! Poorly run company and has been for a long time.

Their books look good, and the ad base is broad, but no way even a small percent of their ad rev - and $100M seems very high - is digital. A nice compliment to some of the image-challenged publishing houses that could use a pretty date.

Employees are treated abysmally

I hope better mgmt comes in to replace Curtis - it's long overdue. Steps should be taken to protect and take care of the very hardworking employees who are treated very poorly. Even sr. mgmt. have only hanging around in hope of a payoff of some sort in the sale, and then get their butts way from him and his irrational and controlling leadership.

Anyone who knows Bill Curtis would not refer to him as greedy. Competitive in business? Definately. Shouldn't every business CEO be? Bill is generous and caring, loves people, enjoys life, and wants his company to be the best it can be. I think there would be more posts like this one but most people who work for Bill are busy... working.

...and I know of many people in middle or senior management who think Bill only generous or caring when it is harshly conditional (they are *always* expected to put CurtCo before their family and personal life). There are a lot of talented and wonderful people have recently left CurtCo because they did not want to work for the CurtCo CEO anymore. The exception to nicer treatment from what I understand are the salespeople, for obvious reasons.

Anyone that knows Bill Curtis and the environment at Curtco, knows that it is a great company to work for...if you are any good at your job. Having been at other publishing companies, Curtco is the best place yet. Clearly it was for all you bloggers who are hurt by not being there anymore.

...And the stuff about treating employees poorly is crap. I feel lucky to be working at CurtCo and to be inspired by a successful businessman, Bill Curtis. It is by far the best company I have worked for. So I am just going to do my job and not pay heed to any more of this nonsense.

Bill is caring and generous to those who work hard which surely provides some context to the negative comments posted by former employees. It's pretty stunning to read these comments. Before coming to CurtCo, I checked with some folks who knew about Bill and the company. To a person, they all said great things. My experience there was similarly exceptional. Talk about an amazing group of people to work for and with! Oh, and as far as treatment of employees? I seem to remember free massages on Friday, weekly catered lunches, and some pretty amazing holiday parties. I've worked for many companies in my life, and nothing compares with CurtCo when it comes to establishing a great working environment. And that all starts with Bill.

I likewise am stunned. I worked for CurtCo for 14 years and Bill has proven over and over again that he's a decent, caring man doing his best. He has 100% integrity, he's generous to a fault, and he's brilliant too. The snide comment about his cars is just cowardly; for the risk and effort he's put in--he deserves everything he owns and more. Have any of the smartasses here ever mortgaged their home to make payroll? Bill has--many times. How about mortgaging everything you've got to buy an almost bankrupt magazine and then rebuilding it back into an iconic brand--oh yeah--and creating jobs for over 500 people along the way? Yeah, thought not. CurtCo is a good place to work as many on this thread are testifying. Incidentally I'm NOT the 'AC' mentioned in a previous thread either.
